WHEREAS the Author of the Trust is desirous of establishing a charitable public trust to carry on the charitable activities in memory of …………………………………. some of which are mentioned in Objects Clause below.
AND WHEREAS the Author of the Trust is desirous of settling irrevocably a sum of Rs 10,000/- (Rupees Ten Thousand only) upon the Trust for certain objects set out in Objects Clause below.
NOW THIS DEED WITNESSETH AS FOLLOWS:
01. DECLARATION OF THE TRUST:
The Author of the Trust do hereby declare a sum of Rs 10,000/- (Rupees Ten Thousand only) as Trust property and transfer, assign, convey and have delivered the said sum in cash to the Trustees herein who acknowledge the receipt of the same in Trust for the objects to be carried out as mentioned below and accordingly hereby declare that they shall hold the Trust funds, and the additions and accretions and/or the investments or conversions of such accumulations, additions and accretions thereto for the objects to be carried out by the Trust.
02. OBJECTS OF THE TRUST:
The objects for which the Trust is founded are:
To establish, run, guide, support and grant aid or other financial assistance to schools, colleges, libraries, reading rooms, laboratories, research and other institutions of the like nature in India, for use of the students and the staff and also for the development and advancement of education and diffusion of knowledge amongst the public in general.
Providing for grants, scholarships, fellowships and other forms of financial assistance to the needy and deserving students for pursuing education, vocational training, skill development etc.
To hold seminars, exhibitions, cultural meets to promote education of Sanskrit, Astrology, Literature, Kannada, English, Science, Mathematics, Engineering, art, music, dance, sports, etc.
To provide support to community by the provision of advice, training, guidance and funding to expand education of Sanskrit, Astrology, Literature, Kannada, English, Science, Mathematics, Engineering, art, music, dance, sports, etc.
To provide guidance, coaching & support to students by conducting seminars, lectures, discourse, workshop, etc.
To provide guidance to educational institutions by assisting in the coordination of, and up-skill of teachers through conducting of coaching classes/seminars on educational matters..
To promote, coordinate and undertake art, science, social, cultural and sports activities.
To recognise the students who have excelled in studies.
To honour eminent personalities who have achieved/excelled in the field of art, science and culture.
To undertake social service to assist the poor children.
To provide for relief to the poor and the needy belonging to all sections of the society by way of establishing, taking over, running or contributing to the establishment and maintenance of educational institutions etc.
To establish, conduct, maintenance of old age homes, homes for physically and/or mentally challenged men, women and children and persons with similar disabilities and also for granting financial assistance to institutions performing similar activities.
To undertake such other activities and/or provide such other assistance, whether by way of financial assistance/support or otherwise as the Trustees see fit.
Such other activities, which are conducive and be deemed necessary to promote and achieve the above said objects.
03. NAME OF THE TRUST:

The office of the Trust shall be situated at ……………………………, India or at such other place in India as the Trustees may from time to time think fit.
The Trust may establish branches at different places in India and the Trust may have separate bye- laws, code of conduct for management of the branches.
The Trustees may adopt different names for the different institutions/activities that may be established for and on behalf of the Trust.
04. TRUSTEES – BOARD OF TRUSTEES, THEIR CONSTITUTION, SUCCESSION TO THE OFFICE OF THE TRUSTEES :
This Trust shall be constituted and administered by the Board of Trustees consisting of not less than three and not more than fifteen Trustees.

The entire management of the Trust and its institutions and movable and immovable properties shall vest in the Board of Trustees.
The Trustees may elect among them a President, Vice-President, Chairman, Secretary, Treasurer or any office bearer from time to time. The persons so elected, shall hold the office during the pleasure of the Board of Trustees.
The board of trustee can co-opt additional trustees from time to time.
The Trustees shall not hold any office of profit in this Trust but shall render service and be responsible to carry out the aims and objects of the Trust.
In the event of any vacancy occurring in the Board of Trustees by resignation or by removal or by death or by ceasing to be a Trustee for any other reason, the vacancy shall be filled by Board of Trustees by co-opting a person by passing a resolution.
In the event of any necessity, the total strength of the Board of Trustees may be increased beyond the limits mentioned above.
05. REMOVAL OF TRUSTEES :
The membership of Trustee to the Board of Trustees shall terminate:
On Death of the Trustee.
On resignation: any Trustee may tender his/her resignation to the Chairman in writing and it shall be put to the Board of Trustees in the next meeting. Such resignation shall be effective from the date of its acceptance by the Board of Trustees.
On expulsion : For conviction in any criminal case.
A Trustee may be removed for any of his action or deed or word, which causes any sort of damages either to the Trust or to the Society in general. The Trustee shall be removed only after giving show cause notice and affording an opportunity of being heard.
A Trustee may be removed if he/she absents himself/herself for five consecutive meetings of the Board of Trustees without giving valid reason to the satisfaction of the Board of Trustees.
Whenever a Trustee is removed by the Board of Trustees, the decision of Board of Trustees will be final.
In the event of Founder Trustee or Chairman is not available, for the reasons like death or voluntary retirement and or for any other reasons, the Board of Trustees shall elect a new Chairman from among themselves after admitting his executor, administrator, the successor or any person designated by him as a member of the Board of Trustees.
06. POWERS OF TRUSTEES:
The Chairman of the Trust or the Board of Trustees of the Trust as the case may be shall have all the powers that are necessary for the effective management and administration of Trust property to achieve the objects of the Trust without limiting the generality of the foregoing and notwithstanding anything contained in the Indian Trust Act, the Chairman of the Trust or Board of Trustees shall have the following specific powers and such powers shall be exercised by the Board by majority decision and in case of a tie, the decision in accordance with the casting vote of the Chairman of the Trust shall prevail and shall be binding :
To open one or more bank account in the name of the Trust or in any other names of the institutions established and run by the Trust.
To represent the Trust in all courts and before all other statutory authorities and to sign and verify plaints and written statements and to institute and defend suits and proceedings by or against the Trust.
To appoint advocates, vakils, chartered Accountants, etc., to represent the Trust.
To execute the power of attorney in favour of any person/s on such terms and conditions for purposes of managing the affairs and activities of the Trust and by the delegations of any of the Powers under any such attorney shall only be for the convenient and efficient carrying on of the activities of the Trust and for the administration of the Trust, and its properties and to achieve the objects of the Trust.
To borrow money with or without securities for and / on behalf of or for the benefit of the Trust or its properties or for the activities of the Trust on such terms and conditions as the Chairman or the Board of trustees may deem fit and proper and to execute the necessary loan papers, pro-notes, hundies, etc., and to mortgage, hypothecate or create a charge or lien over all or any of the properties of the Trust for the said purposes.
To make rules and regulations for the management of the Trust and also to amend and alter the rules so made.
To accept and receive gifts, donations, endowments, grant-in-aid etc., from Trustees and others.
To appoint staff, employ servants, etc, in respect of activities of the Trust and to dismiss or terminate the persons so employed or vary the terms of employment.
To sell, lease or secure by way of mortgage any of the property of the Trust, either movable or immovable and to utilize the proceeds from such sale, lease or mortgage for the activities of Trust.
To reimburse and pay out of the Trust Fund all the expenses incurred in connection with the management and the administration of the Trust activities and its funds.
To do all such acts, deeds and things as may be necessary for the proper administration of the affairs of the Trust so as to achieve the objects of the Trust.
The Board of Trustees is entitled to construct and maintain any number of buildings for attainment of the objects of the Trust.
In case of any disputes the same will be subject to the jurisdiction of the Civil Court within the city ……………
The Trustees in their absolute discretion shall be entitled to donate the Trust fund or corpus of the Trust fund to any Trust, institution or body whose objects are of charitable nature and are recognised by the Income Tax authorities and registered under that act, as amended from time to time.
The Trust may have branches all over India and also may associate with National / International agencies working for the similar objectives of the Trust and take financial assistance from such National / international agencies both private and public which are permitted to aid or offer financial assistance in accordance with rules and policies made by the Government of India or any other authority.
07. BANK ACCOUNT:
The Trust may open such Bank Account or Accounts in any of the Banks and such account(s) shall be operated jointly by any two trustee authorised by the board of Trustees.
08. CORPUS OF THE TRUST:
The corpus of the Trust shall mean and include a sum of Rs 10,000/- (Rupees Ten Thousand only) declared as Trust property and all other investments for the time being representing the same. It shall also include such gifts, donations, grants-in-aid and endowments, both movable and immovable properties and either in cash or in kind as may be received or any other sum or funds held by the Trustees or the Board to be held under the specific direction and terms that they shall be kept as part of the corpus of the Trust and all the investments for the time being representing the same. It shall also mean and include any other sum required to be kept as part of the Corpus of the Trust.
09. TRUST FUNDS OR TRUST PROPERTY:
Trust funds or property shall mean and include not only the Corpus of the Trust but also the income arising to the Trustee for the benefit of the Trust which remain unapplied or accumulated for application towards the objects by keeping and treating it as the part of the Corpus of the Trust and all the investments for the time being representing the same. It shall also include all the assets, tangible and intangible benefits and rights acquired during the existence of this fiduciary obligation for the benefit of the Trust and all the investments and proceeds representing the same for the time being. It shall also include funds coming into the possession of the Trustees for the Corpus of the Trust and all the investments for the time being representing the same.
The Trustees shall maintain proper accounts of the Trust, and the accounts shall be closed on 31st March and shall be audited by a Chartered Accountant every year.
The funds of the Trust shall be invested in specified assets and securities as per the sections 13 (1) (d), read with section 11 (5) of the Income Tax act, 1961, as amended from time to time.
10. The Trust is irrevocable and the paramount intention of the Author of the Trust is to execute a Trust of Public Charitable nature. However, the Trust is entitled to make any amendments to its constitution or may frame subsidiary rules and bye-laws not inconsistent with the laws prevailing for the effective functioning from time to time, provided it is not repugnant to the provisions of section 2(15), 11, 12, and 13 and 80 G, of the Income-tax Act 1961 (As amended from time to time) and no amendment shall be carried out without the prior permission or approval from the Commissioner of Income Tax, Karnataka.
11. The income and property of the Trust shall be applied solely for the promotion of the objects of the Trust as set forth above, and no portion thereof shall be paid or transferred directly or indirectly by way of dividends bonus or otherwise or by way of distribution of profit to any of the Trustees provided that nothing herein contained shall prevent any payment of remuneration, in good faith, to any officers or other employees of the Trust, temporary or otherwise, or any other person including Trustees in return for any services rendered for the Trust or reimbursement of any expenses for the activities of the Trust.
12. Except to the extent mentioned above, all the other provisions of Indian Trust Act, 1882 shall apply to this Trust.
13. In case the Trust is not able to function for any reason or the Board of Trustees decide (by the majority of not less than three fourths of the total number of members in the Trust as on date ) to wind up the Trust, the assets of the Trust after meeting all the liabilities of the Trust shall be transferred to any other organisation which has similar objectives as those of this Trust and has been recognised as Public Charitable Trust Under Section 11, 12 and section 80 G of the Income Tax Act, 1961.
14. The Board of Trustees shall be indemnified against any expenses and losses incurred or suffered or any payment made by them in good faith and in the bonafide administration of the Trust and such expenses, losses and payments shall be borne by the Trust and none of the member of Board of Trustees as the case may be shall be personally liable to or responsible for the same.
15. In the event of the dissolution of winding up of the Trust, the assets remaining as on the date of dissolution shall under no circumstances be distributed among the Trustees/ Members of the managing committee / governing body but the same shall be transferred to another charitable trust whose objects are similar to those of this Trust and which enjoys recognition under section 80G of the Income Tax Act, 1961 as amended from time to time.
16. The benefits of the Trust shall be open to all irrespective of caste, creed or religion.
17. The Trust may also take over assets and activities of any other trusts, associations or any other charitable organizations having similar objects.

To support women entrepreneurship and self-help groups (SHGs).

To provide support services for widows, single women, destitute women, and victims of violence.

To publish books, magazines, journals, reports, and awareness materials.
To undertake all lawful activities necessary for achieving the objectives of the Trust.
TRUST PROPERTY
The Settlor has contributed an initial sum of Rs. 1,000/- (Rupees One Thousand only) towards the Trust Fund.
The Trust Fund may be increased by donations, grants, subscriptions, CSR contributions, movable or immovable properties, and other lawful sources.
BOARD OF TRUSTEES
The management of the Trust shall vest with the Board of Trustees.
The Board shall consist of a minimum of 3 Trustees.
The Trustees shall act collectively in the interest of the Trust.
The Trustees shall not receive any profit from the Trust activities.
Trustees may be reimbursed for actual expenses incurred for Trust work.
POWERS OF TRUSTEES

To appoint staff, consultants, volunteers, and advisors.

Their duties and powers shall be decided by the Board.
MEETINGS
The Board shall meet at least once every three months.
Notice of the meeting shall be given at least 7 days in advance.

Decisions shall be taken by majority vote.
In case of equality of votes, the Chairperson shall have a casting vote.
BANK ACCOUNT
The Trust shall open a bank account in any scheduled bank.
The account shall be jointly operated by any two authorized Trustees.
ACCOUNTS AND AUDIT
Proper books of accounts shall be maintained.
The financial year shall be from April 1 to March 31.
The accounts shall be audited annually by a qualified Chartered Accountant.
Audit reports shall be placed before the Board.
AMENDMENT
Any amendment to this Trust Deed may be made only with approval of at least two-thirds majority of the Trustees, subject to applicable laws.
IRREVOCABILITY
The Trust shall be irrevocable.
No part of the income or property of the Trust shall be distributed among the Trustees.
DISSOLUTION
In the event of dissolution of the Trust, the remaining assets and properties shall be transferred to another Trust or Society having similar charitable objectives and registered under applicable laws.
No Trustee shall claim any share in the Trust property.
DECLARATION
The Settlor hereby declares that the Trust created under this Deed shall be used solely for charitable purposes and public welfare.
